NOISEASH SOFTWARE LICENSE AGREEMENT (EULA)
This Software License Agreement (the “Agreement”) is between you (“you” or “Licensee”) and NoiseAsh, Inc. (“NoiseAsh,” “we,” or “us”), the seller of record for purchases from noiseash.com and an authorized licensor of the products. Software and associated intellectual property may belong to affiliated NoiseAsh entities or other rights holders. By affirmatively accepting these terms at checkout, installation, or activation, you agree to them. Mandatory legal rights prevail over conflicting provisions.
1. Scope and Definitions
“Software” means NoiseAsh audio plugins, virtual instruments, standalone applications, installers, documentation and associated components. “Licensed Content” means included samples, loops, presets, impulse responses and similar materials. “Major Version” is a principal release (for example, 1.x versus 2.x), or a release expressly designated as major. “Bundle” is a set of products sold under one bundle entitlement. Additional product-specific or third-party terms apply only when disclosed as applicable.
2. License and Creative Outputs
A valid paid license grants one individual a non-exclusive, non-sublicensable right to use the Software for lawful personal and commercial production. The Software is licensed, not sold. You may create, publish and monetize your original music, mixes, masters, recordings, audiovisual works, game audio, sound effects and original sample packs made from lawfully sourced material, without royalties or attribution to NoiseAsh solely for using the Software. You retain rights in your original outputs; third-party and separately licensed content rights remain unaffected.
3. Perpetual Licenses, Updates and Upgrades
Unless disclosed otherwise before purchase, a paid full license permits ongoing use of the purchased Major Version. All updates actually released within that Major Version are included at no additional license fee; NoiseAsh need not release any particular update. Later Major Versions are not included automatically. NoiseAsh may offer them free, at a discount, or for a separate fee. A new Major Version does not itself terminate a valid older-version license. Future OS, DAW, hardware or host compatibility is not guaranteed.
4. Devices, Activation and Single-User Restrictions
One paid full license allows up to three (3) simultaneously activated devices for the same user. To activate another device, deactivate one existing device through self-service license management; contact support if a device cannot be deactivated. NoiseAsh may increase this allowance, but a later general policy change will not reduce the three-device entitlement granted here. Three activations do not permit three users. Unauthorized account sharing, network-based multi-user access, renting, leasing or sublicensing is prohibited. Remote access by the licensed user to their own activated device is not prohibited merely because it is remote.
5. Subscriptions (If Offered)
NoiseAsh may offer subscriptions under separately disclosed prices, billing periods, product coverage and cancellation terms. Subscription use rights last only while the subscription is active. Automatic renewal applies only where clearly disclosed and lawfully authorized; customers may cancel through available account tools or support, ordinarily retaining access through the paid term. Failed payments may lead to suspension after any required notice or cure opportunity. Future price or material content changes require applicable advance notice, consent and cancellation rights. Expiration ends subscription-only access, not ownership of lawfully created outputs. Subscriptions do not convert, revoke or replace independently purchased perpetual licenses. Mandatory refund and cancellation rights prevail.
6. Trials, Beta, NFR and Education
Free, demo, trial, promotional, educational, Not For Resale (“NFR”), beta and time-limited licenses may carry clearly disclosed additional restrictions. Beta or preview Software may be incomplete, unstable or changed or withdrawn; back up important work and do not rely on it as the sole means of critical production. Beta access does not promise a commercial release. Applicable non-excludable rights remain intact.
7. Ownership and Use Restrictions
The respective rights holders retain all rights in protected source and object code, DSP implementations, interfaces, graphics, documentation, trademarks and other proprietary Software components. You may not unlawfully distribute, rent, sublicense, share, extract and redistribute protected components, remove proprietary notices, or circumvent licensing protections. These restrictions do not override mandatory exceptions, including applicable interoperability, lawful reverse engineering, security research or open-source license rights, and do not prohibit legitimate commercial distribution of your own audio outputs.
8. Included Audio Content
Unless product-specific terms say otherwise, Licensed Content may be incorporated into finished commercial or noncommercial creative works without additional NoiseAsh royalties or attribution. It may not be repackaged, resold or distributed as standalone or substantially substitutable sample, preset, IR or instrument libraries, including after processing, without permission. This does not restrict original sounds created from your own lawfully sourced material with NoiseAsh effects.
9. Delivery, Compatibility and Legacy Products
Products are supplied digitally through the website, account, email or licensing system. Review stated system requirements before purchase. NoiseAsh intends to preserve discontinued-product downloads and activation for as long as reasonably practicable, and targets at least two years of technical support after discontinuation; this is an operational objective, not a promise of indefinite servers, updates or compatibility. Mandatory statutory obligations remain unaffected.
10. Sales, Digital Delivery and Refunds
Checkout will disclose the total price, applicable taxes and mandatory charges. Perpetual purchases do not authorize recurring charges. For an accidentally purchased wrong product, contact su*****@******sh.com within 14 days; NoiseAsh will normally refund or exchange a verified unused, unactivated license. Verified accidental duplicate purchases will normally be refunded. For defective or materially nonconforming products, NoiseAsh may troubleshoot or provide remedies required by law, including repair, replacement, price reduction or refund. Approved refunds ordinarily use the original payment method, and reversed purchases may have their entitlements revoked. Where law allows loss of a digital-content withdrawal right upon supply, it applies only after all legally required separate consent, acknowledgment and confirmation; accepting this Agreement alone is insufficient. All non-waivable consumer rights remain intact.
10. Authorized Resellers
NoiseAsh products may be purchased through authorized third-party resellers. Customers must create or use a NoiseAsh account and register their valid license key to activate and use the Software. All licenses obtained through authorized resellers are subject to this Agreement and provide the same applicable usage, activation, and version rights as equivalent licenses purchased directly from NoiseAsh, unless expressly stated otherwise before purchase. Purchases, payments, refunds, and order-related matters are generally handled by the original reseller under its applicable sales terms and mandatory consumer laws. NoiseAsh remains responsible for its own software licensing and support obligations.
12. Paid License Transfers
Eligible paid perpetual licenses may be transferred to another user, subject to the applicable fee published on the NoiseAsh License Transfer Fee page. NoiseAsh may reduce or waive this fee at its discretion. Any applicable fee, including taxes, is disclosed before confirmation and may be paid by either party. The same conditions apply to all eligible licenses, regardless of purchase price or discount. Each transfer covers one individual plugin or complete bundle. Bundles cannot be split unless authorized by NoiseAsh. To request a transfer, contact su*****@******sh.com with the license details and recipient’s name and email. Transfers are completed following verification, payment of any applicable fee, recipient acceptance of this Agreement, and license reassignment. The recipient inherits only the associated version and upgrade rights. The previous owner must deactivate and discontinue use of the transferred license. Free, demo, trial, NFR, educational, promotional, beta, and time-limited licenses are non-transferable unless authorized or legally required. NoiseAsh is not responsible for private buyer–seller transactions. Mandatory legal rights and existing contractual entitlements remain unaffected.
13. Verification and Privacy
For licensing purposes, current NoiseAsh plugins transmit a machine/device identifier and license/activation information, not audio recordings, DAW projects or unrelated files. Website, order, account and support processing is described in the Privacy Policy page. A device identifier may constitute personal data under applicable law.
14. Export Compliance
You must comply with applicable export-control, sanctions and trade laws relevant to obtaining, using or transferring the Software. NoiseAsh may refuse or restrict transactions where legally required.
15. Limited Indemnification
To the extent lawful, you will indemnify NoiseAsh for reasonable third-party claims and costs directly attributable to your intentional unlawful redistribution, licensing fraud or other material unlawful misuse of protected Software components. This does not cover NoiseAsh’s own wrongdoing, negligence or breach, and does not override mandatory consumer rights. NoiseAsh will provide reasonable notice and an appropriate opportunity to participate in the defense where legally permitted.
16. Suspension and Termination
Material breach, fraud or unauthorized redistribution may result in proportionate suspension or termination where lawful. Where appropriate, NoiseAsh will provide notice and a reasonable opportunity to remedy the issue. On lawful termination, cease unauthorized use and delete copies you are no longer licensed to retain. A refund validly unwinding a purchase may terminate that entitlement. Mandatory remedies remain unaffected.
17. Warranties and Liability
Software is provided subject to express commitments and non-excludable legal guarantees. To the maximum extent permitted by law, other implied warranties are disclaimed and NoiseAsh is not liable for indirect, incidental or consequential commercial losses, including lost profits. For business customers, aggregate liability arising from a particular product is limited to the amount paid for that product, to the extent lawful. This does not limit liability for fraud, willful misconduct or other liability that cannot lawfully be limited, nor mandatory consumer rights.
18. Third-Party Components
Third-party and open-source components may be governed by separate licenses and notices. Nothing here restricts rights those licenses or applicable law grant.
19. General Terms and Contact
This Agreement and any applicable disclosed product-specific terms constitute the agreement concerning the Software. If a provision is unenforceable, the remainder continues where lawful. Failure to enforce a right is not a waiver. Amendments apply prospectively and do not automatically remove vested rights in purchased perpetual licenses. Applicable law and competent courts are determined under relevant conflict-of-laws rules, without prejudice to mandatory consumer protections or legally available consumer forums. For purchases, support, licensing, refunds or legal notices contact su*****@******sh.com. Business identification and statutory contact details are available at noiseash.com.
